Welcome to DeliverAI Solutions ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at deliveraisolutions.com, our Content Mix Model™ platform, and any related services, tools, or applications (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

DeliverAI Solutions provides AI and machine learning consulting, data analytics, custom software development, and access to our proprietary Content Mix Model™ platform. Our Services include, but are not limited to:

• AI & ML strategy consulting and implementation
• Predictive analytics and data modeling
• Content Mix Model™ — a SaaS platform for content performance analysis, media planning, campaign optimization, and audience insights
• Custom software and API development
• Training and ongoing support

3. Account Registration & Access

To access certain features of our Services, including the Content Mix Model™ platform, you must create an account. You may register using your email address or through third-party authentication providers (Google or Microsoft). You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your login credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities conducted under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with these Terms. You shall not:

• Use the Services to violate any applicable law, regulation, or third-party right
• Attempt to gain unauthorized access to any portion of the Services or any related systems
• Reverse engineer, decompile, or disassemble any aspect of the Services
• Transmit viruses, malware, or other harmful code
• Use the Services in any manner that could disable, overburden, or impair our infrastructure
• Scrape, harvest, or collect data from the Services through automated means without prior written consent
• Resell, sublicense, or redistribute the Services without authorization

5. Intellectual Property

All content, features, and functionality of the Services — including but not limited to the Content Mix Model™ platform, software, algorithms, text, graphics, logos, trademarks, and design elements — are the exclusive property of DeliverAI Solutions or its licensors and are protected by United States and international intellectual property laws.

Your use of the Services does not grant you ownership of any intellectual property rights in the Services or the content you access. You may not copy, modify, distribute, or create derivative works based on any part of the Services without our prior written consent.

6. Client Data & Privacy

You retain ownership of any data, content, or materials you upload, submit, or make available through the Services ("Client Data"). By providing Client Data, you grant us a limited, non-exclusive license to use, process, and store it solely for the purpose of providing and improving the Services.

We handle your personal information in accordance with our Privacy Policy, which is incorporated into these Terms by reference. We implement reasonable security measures to protect Client Data but cannot guarantee absolute security.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of using the Services. This includes, but is not limited to, business strategies, client lists, analytical models, and technical specifications. Confidentiality obligations survive the termination of these Terms for a period of two (2) years.

8. Fees & Payment

Certain Services may require payment of fees. All fees will be specified in a separate service agreement, statement of work, or subscription plan. Unless otherwise stated:

• Fees are quoted in U.S. dollars and are non-refundable
• Payment is due within the timeframe specified in the applicable agreement
• Late payments may incur interest at a rate of 1.5% per month or the maximum permitted by law
• We reserve the right to suspend access to Services for overdue accounts

9. Third-Party Services

Our Services may integrate with or contain links to third-party services, including authentication providers (Google, Microsoft), analytics platforms, and cloud infrastructure. We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of third-party services is subject to their respective terms and policies.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

While we leverage advanced AI and machine learning techniques, we do not guarantee specific business outcomes, accuracy of predictions, or the completeness of any analysis generated through our Services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DELIVERAI SOLUTIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless DeliverAI Solutions and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

Either party may terminate access to the Services at any time. We may suspend or terminate your access immediately if you breach these Terms. Upon termination:

• Your right to access the Services will cease immediately
• We will make your Client Data available for export for a period of thirty (30) days, after which it may be deleted
• Provisions that by their nature should survive termination will continue in effect, including intellectual property, confidentiality, limitation of liability, and indemnification

14. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on our website and updating the "Effective Date" above. Your continued use of the Services after such changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall first be addressed through good-faith negotiation. If unresolved within thirty (30) days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the English language.

16. General Provisions

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and DeliverAI Solutions. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right under these Terms shall not constitute a waiver of that right. You may not assign your rights under these Terms without our prior written consent.
